Terms of Service

By accessing or using the TIOSAN platform ("Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Platform.

These Terms constitute a legally binding agreement between you and TIOSAN, Inc. ("TIOSAN," "we," "us," or "our"). We reserve the right to modify these Terms at any time. Your continued use of the Platform after any modifications constitutes your acceptance of the revised Terms.

TIOSAN is a technology platform that facilitates access to U.S. banking services for qualified individuals through our partnership with Slash Financial, Inc. ("Slash") and its banking partners. The Platform enables Independent Business Operators ("IBOs") to earn commissions through deposit activity and referrals.

TIOSAN is not a bank. We do not hold deposits, issue credit, or provide banking services directly. All banking services are provided through Slash Financial, Inc. and its banking partner, Column N.A., Member FDIC.

The Independent Business Operator (IBO) program allows approved participants to earn compensation through the following structure:

TIOSAN reserves the right to modify the compensation structure with 30 days written notice to active IBOs. Compensation is subject to applicable tax withholding and reporting requirements.

To use the Platform, you must:

• Be at least 18 years of age
• Provide valid government-issued identification
• Successfully complete our identity verification and KYC process
• Not be a resident of a sanctioned country or appear on any government sanctions list
• Provide accurate, current, and complete information during registration
• Maintain the accuracy of your information throughout your use of the Platform

You agree not to engage in any of the following prohibited activities:

• Money laundering, terrorist financing, or any other financial crime
• Providing false, misleading, or fraudulent information
• Using the Platform for any illegal purpose
• Attempting to circumvent any security measures or access controls
• Creating multiple accounts or using another person's identity
• Manipulating deposit or referral activity to inflate commissions
• Interfering with the proper functioning of the Platform
• Violating any applicable laws, regulations, or third-party rights

We may suspend or terminate your access to the Platform at any time, with or without cause, and with or without notice. Grounds for termination include, but are not limited to:

• Violation of these Terms or any applicable law
• Fraudulent, abusive, or illegal activity
• Failure to pass identity verification or ongoing compliance checks
• Request by law enforcement or government agencies
• Extended periods of inactivity

Upon termination, your right to use the Platform ceases immediately. Any pending commissions may be forfeited if termination is due to violation of these Terms. TIOSAN will cooperate with banking partners to facilitate the orderly closure of any associated accounts.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TIOSAN AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM.

IN NO EVENT SHALL TIOSAN'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM EXCEED THE TOTAL AMOUNT OF COMMISSIONS PAID TO YOU BY TIOSAN IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

TIOSAN IS NOT RESPONSIBLE FOR ANY ACTIONS, OMISSIONS, OR ERRORS OF SLASH FINANCIAL, INC., COLUMN N.A., OR ANY OTHER THIRD-PARTY SERVICE PROVIDER.

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws provisions. Any disputes arising out of or relating to these Terms or your use of the Platform shall be resolved exclusively in the federal or state courts located in Wilmington, Delaware.

You agree to submit to the personal jurisdiction of the courts located in Delaware for the purpose of resolving any disputes arising under these Terms.
